Unable to get the project file from web server in vs-2003

In Visual Stdio-2003 while opening Existing application I am getting error like "Unable to get the project file from web server"
and some times i am getting another error like "Unable to open webproject 'Webapp.app.appcenter' The web 'Webapp.app.appcenter' located on server 'http://localhost' does not exist" Can u please help me out of this problem.
and i am using windows-xp professional service pack-3 and IIS version is 5.1
