HELP!! I am trying to make a MDI Form with a background image. I tried to use a picturebox and send it to the back but when the form loads into the MDI it goes behind the picture. So i decided to use a panel but that did not work. can someone help????????????????????

Please see my comment to the question. The idea is bad, unacceptable, makes no sense. Instead of many forms, you can use many panels playing the same roles, or tab pages of TabControl (in a very simple and neat design) or something else.

It's interesting that you thought that MDI could serve you as a model. MDI is one of the worst inventions; Microsoft trying to phase is in a gentle way, but leaved it in Forms to harm the developers of old applications less. Why would you want to mimic the worst? Just to scare off your users? :-)

Your troubles with PictureBox are just unclear. If you keep facing this problem, please ask a proper question, with comprehensive but very short code sample manifesting the problem.
