What do you mean by UPGRADE? upgarding framework?
If "no", just open the project in Visual Studio 2013.
If "yes", go to project properties and change the .net framework version.

To run a VS2008 in the latest version of the framework, open the project in VS2013. The upgrade wizard will take care of the upgrade for you.

If you want to use features available in the latest framework, you will have to learn about them and change the code on your own.
