1) Write a PHP script that will run on server side which accepts text file and saves it in server.

What I understand here:
1) One PHP script will run on server side.
2) I have to send (HTTP POST or by any other method) a *txt file from client side.
3) PHP site, running on server side will accept this file saves in server.

NOTE: FTP not allowed here in this project.

Can any one help me here? Can any one give me example of this PHP script.

DON'T SHOUT. Using all capitals is considered shouting on the internet, and rude (using all lower case is considered childish). Use proper capitalisation if you want to be taken seriously.

We do not do your homework: it is set for a reason. It is there so that you think about what you have been told, and try to understand it. It is also there so that your tutor can identify areas where you are weak, and focus more attention on remedial action.

Try it yourself, you may find it is not as difficult as you think!
